This document defines the working relationship between you and Tevonex. It exists to create clarity before questions arise and structure before uncertainty appears. Its purpose is not restriction, but understanding.
When you choose Tevonex, you are choosing a team to represent your brand, your voice, and your direction in digital spaces where perception forms quickly. That responsibility is approached with intention. These terms outline how collaboration begins, how it progresses, and how it may conclude.
1. Scope of Engagement
Every project begins with a definition. The services Tevonex will provide, whether strategy, development, marketing, design, consulting, or digital growth support, are detailed in your proposal, quotation, or formal agreement.
The scope outlines what is included, what is excluded, and what is expected within the agreed timeframe. It protects focus. It prevents distraction.
If additional services are requested beyond the original scope, they will be discussed, documented, and approved before implementation. Expansion is welcome. Assumption is not.
Digital work evolves. Markets shift. Technology updates. The defined scope provides structure, while agreed adjustments allow thoughtful progress.
2. Client Participation and Responsibility
Effective digital execution requires shared involvement. Tevonex brings strategic expertise and technical execution. You bring brand understanding, internal clarity, and decision-making authority.
Timely approvals, access to required accounts, and accurate information are essential. Delays in feedback or access may impact timelines and delivery schedules.
Progress depends on communication. When dialogue is clear and consistent, direction sharpens. When engagement is steady, results align more naturally.
Partnership is not passive. It is collaborative.
3. Fees and Payment Terms
Project fees, retainers, or milestone payments are defined within your proposal or invoice. Payment schedules must be honored as agreed.
Work may be paused if payments are significantly delayed. Digital services often involve third-party tools, subscriptions, or advertising budgets that require consistent funding. Predictable payment allows uninterrupted execution.
If unforeseen financial difficulty arises, early communication is encouraged. Resolution is far easier when discussed promptly.
4. Ownership and Intellectual Property
Upon full payment of all agreed fees, final approved deliverables created specifically for your project become your property, unless otherwise specified in writing.
However, Tevonex retains ownership of:
- Internal frameworks
- Proprietary processes
- Tools, templates, and methodologies
- Unused drafts and conceptual materials
These foundations represent accumulated experience and remain the agency’s intellectual assets.
Ownership should feel clear, not complicated. This clarity protects both innovation and integrity.
5. Confidentiality
Both parties agree to maintain confidentiality regarding sensitive information shared during the engagement.
Tevonex may access business data, analytics, internal strategies, or account credentials strictly for project-related purposes. Such information will not be disclosed to unauthorized third parties.
Similarly, any proprietary systems, documentation, or internal materials provided by Tevonex must not be replicated, redistributed, or misused.
Confidentiality is maintained not through dramatic declarations, but through consistent professional conduct.
6. Performance and Expectations
Digital performance is influenced by multiple external factors including platform algorithms, market trends, competitor actions, and audience behavior.
Tevonex does not guarantee specific results such as revenue figures, rankings, traffic volume, or engagement metrics. What is guaranteed is professional diligence, strategic evaluation, and ongoing refinement.
Growth is iterative. Campaigns are reviewed, optimized, and adjusted based on performance data and market conditions.
Measured progress is more sustainable than short-lived spikes.
7. Limitation of Liability
Tevonex is not liable for:
- Third-party platform failures
- Algorithm changes
- Account suspensions due to historical violations
- External economic conditions
- Indirect or consequential losses
The agency commits to reasonable professional care. However, no digital service provider can control every external variable.
Clear boundaries prevent misunderstanding and protect the working relationship.
8. Termination
Either party may terminate the engagement according to the notice period defined in the agreement.
- Outstanding fees for completed work remain payable
- Work completed up to termination will be delivered
- Account access and materials will be transitioned appropriately
Professional endings matter as much as professional beginnings.
9. Amendments
Any changes to scope, timelines, deliverables, or fees must be confirmed in writing by both parties.
Verbal agreements or informal approvals may lead to misinterpretation. Written confirmation ensures clarity and continuity.
Structure supports flexibility. It does not limit it.
10. Governing Law
This agreement is governed by the laws specified within your signed contract or proposal.
Any disputes will be resolved within the designated legal jurisdiction.
Legal structure exists quietly in the background, not to interfere with progress, but to provide stable ground if clarity is ever required.
